Your mission
Your mission
As the Legal Counsel, your mission is to provide expert legal advice to the Board of Directors on business decisions and regulatory changes. You will partner with business teams to draft, review, and negotiate commercial agreements, ensure corporate governance compliance, and maintain legal coordination with shareholders. Your responsibilities include managing due diligence and legal aspects of mergers and acquisitions, supporting stakeholders in complex contract negotiations, and protecting Qblox’s intellectual property. You will establish a Code of Ethics, monitor legal and regulatory changes, and advise on employment-related legal matters, ensuring comprehensive legal support across the organization.

Your role & responsibilities:
  • Advice Board of Directors regarding legal impact of business decisions and upcoming regulations
  • Partnering with the business teams to draft, review and negotiate all sorts of commercial agreements and documents of any kind that create legal obligations, rights, or responsibilities for Qblox
  • Advise the Board of Directors on Corporate Governance, including board meetings, bylaws, and Governance policies. Ensure Corporate Secretary activities for Qblox’s Supervisory Board are compliant and organized in the right manner
  • Maintain legal coordination with shareholders of Qblox
  • Management of due diligence, negotiations, and legal aspects of mergers and acquisitions,
  • Ensure business stakeholders receive the right level of support in structuring, negotiating, drafting and closing complex commercial contracts and strategic partnership deals to ensure both business and legal objectives are met. Additionally, ensures compliance with Contract Management principles.
  • Institute programs and policies to protect Qblox’s Intellectual Property and Licensing and support Business Units on these topics when needed
  • Establishes and enforces a Code of Ethics and a Compliance Program to ensure ethical conduct and prevent unethical or illegal behavior.
  • Monitor changes in relevant laws and regulations which may impact operations, such as privacy, security, and safety to ensure Regulatory Compliance. In addition, ensure the execution of regular assessments to identify potential risks, as well as the design and roll-out of a Compliance Roadmap and accompanying Program(s) to address these risks.
  • When needed, advise on employment-related legal matters, including labor laws, discrimination, employment contracts, unions, and employee disputes.
Your profile
Education & experience
  • Academic degree in the practice of law.
  • A minimum of 7 years of relevant experience as a lawyer in an international business environment, either as in-house legal counsel or within a law firm;
  • Strong interpersonal skills to manage a wide range of stakeholders as well as the ability to interact with Vanderlande’s employees throughout all levels of the organization.
  • Highly responsible, self-motivated and able to thrive in an energetic, fast-paced and growth focused organization.
  • Exceptional analytical and problem-solving skills with the ability to think strategically and provide sound business advice.
  • Superior Legal acumen complimented by sound business-first judgment.
  • Fluent in English required, Dutch preferred.
